FlowDo – Terms of Service

By accessing or using FlowDo's mobile application (“App”) and related services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms in the App or sending you an email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

2. Description of Services

2.1 Core Services

FlowDo provides a comprehensive personal productivity platform that includes:

• Task and project management tools based on Getting Things Done (GTD) methodology
• AI-powered productivity assistance and insights
• Goal setting and progress tracking capabilities
• Time management and scheduling features
• Data synchronization across devices
• Customizable productivity workflows

2.2 Service Availability

We strive to provide reliable and continuous access to our Services. However, we do not guarantee uninterrupted availability and may temporarily suspend access for maintenance, updates, or technical issues. We will provide reasonable notice for planned maintenance activities.

3. Eligibility and Account Creation

3.1 Age Requirements

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have parental or guardian consent to use the Services and agree to these Terms.

3.2 Account Registration

To access certain features of our Services, you must create an account. You agree to:

5. Acceptable Use and Prohibited Activities

6.2 License to FlowDo

By using our Services, you grant FlowDo a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your User Content
• Provide technical support and troubleshooting
• Improve our Services and develop new features
• Ensure data security and backup
• Comply with legal obligations

6.3 Content Standards

You represent and warrant that your User Content:

• Does not violate any laws or regulations
• Does not infringe upon third-party rights
• Is not harmful, offensive, or inappropriate
• Does not contain confidential or sensitive information of others

6.4 AI-Generated Content

Our Services include AI-powered features that may generate content based on your inputs. You acknowledge that:

• AI-generated content is provided “as-is” without warranties
• You should review and validate AI-generated suggestions
• We are not responsible for decisions made based on AI recommendations
• AI features may be limited or unavailable in certain regions

7. Intellectual Property Rights

7.1 FlowDo's Intellectual Property

The Services, including the App, website, and all related content, are owned by FlowDo and protected by intellectual property laws. This includes:

• Software code and algorithms
• User interface design and graphics
• Trademarks, service marks, and logos
• Documentation and training materials
• AI models and machine learning systems

7.2 Third-Party Intellectual Property

Our Services may include third-party software, libraries, and content. These are subject to their respective licenses and terms of use.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We are committed to protecting your data and comply with applicable data protection laws, including India's Digital Personal Data Protection Act (DPDP Act) and other relevant regulations.

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Services will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of any information
• Warranties that defects will be corrected

9.2 Limitation of Liability

IN NO EVENT SHALL FLOWDO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Business interruption or system failures
• Personal injury or property damage
• Any damages resulting from the use or inability to use the Services

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Essential Purpose

The limitations and exclusions in this section apply to the fullest extent permitted by law. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these provisions may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless FlowDo and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your User Content or any other content you submit
• Your violation of any third-party rights

11. Termination and Account Deletion

11.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in the App
• Contacting our support team at support@flowdo.com
• Canceling your subscription (if applicable)

11.2 Termination by FlowDo

We may terminate or suspend your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your account poses a security risk
• We are required to do so by law
• We discontinue the Services

11.3 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• We may delete your account and User Content
• You may lose access to your data and settings
• Any outstanding payments remain due
• Provisions that survive termination remain in effect

11.4 Data Retention After Termination

After account termination, we may retain certain information for:

• Legal compliance and record-keeping
• Fraud prevention and security
• Service improvement and analytics
• Dispute resolution

We will delete or anonymize your personal information within 30 days of termination, unless legal requirements require longer retention.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

12.2 Dispute Resolution

Before pursuing formal legal action, we encourage you to contact us to resolve any disputes amicably. If a dispute cannot be resolved informally, it will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

12.3 Jurisdiction

13.2 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.4 Force Majeure

We are not liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to cloud outages, pandemics.

13.5 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FlowDo regarding the Services.
